Representative clauses
1. Relationship
You participate as an independent party. Nothing creates employment, partnership, agency, or joint venture. You decide how and where to share, within these terms and our policies.
4. Earnings
You earn on verified, approved traffic only. The applicable rate is set per campaign and varies by campaign, country, traffic source, and traffic quality; the rate is shown before you generate a link. We make no representation or guarantee of any income or earnings.
5. Verification, holds & clawbacks
All traffic is subject to verification. We may (a) hold earnings pending verification, (b) decline to pay amounts associated with traffic that fails verification, and (c) reverse or recover amounts later found to be invalid or fraudulent, including via offset against future earnings. Where we take such action, we will provide a reason. Determinations of validity are made by us in good faith using our verification systems, as described in the Invalid Click Policy.
8. Quality score
We assign a quality score reflecting traffic quality, which may affect campaign access, rates available to you, and payout timing. The factors are described in-product.
10. Taxes
You are responsible for all taxes on your earnings and for providing accurate tax information (e.g. [W-9/W-8/required forms]) via our [payout provider]. We may withhold where legally required.
12. Effect of termination
On termination without cause by you, verified amounts past any hold period are payable subject to thresholds. On termination for fraud or material breach, we may withhold amounts associated with the breach, as permitted by law.
